These Terms of Service ("Terms") govern your use of Sunfish Events LLC's event registration platform ("Platform," "Service"). By creating an account or using our Service, you agree to these Terms.

1. Definitions

  • "Organizer": An individual or entity creating events on our Platform

  • "Attendee": Someone registering or added for an event through our Platform

  • "Event": An event created by an Organizer

  • "Transaction": A completed ticket purchase or registration or manual addition

  • "We," "Us," "Our": Sunfish Events LLC

  • "You," "Your": The person or entity using our Service

2. Eligibility and Account Registration

Organizers:

  • Must be at least 18 years old or the age of majority in your jurisdiction

  • Must provide accurate and complete registration information

  • Must have authority to bind any organization you represent

  • Are responsible for maintaining account security and confidentiality

  • Must use a valid email address and keep contact information current

Attendees:

  • Must be at least 13 years old (events may set higher age requirements)

  • Must provide accurate registration information

  • Understand that event organizers control event terms and conditions

3. Organizer Terms

3.1 Event Creation and Management

You may NOT create events for:

  • Events that violate our Prohibited Uses (Section 7)

  • Events that misrepresent their nature or purpose

3.2 Pricing and Fees

Our Fees:

Current pricing is displayed on our website and during checkout. Pricing may include:

  • Per-transaction fees

  • Per-registration fees

  • Subscription or tier-based fees

Stripe Payment Processing:

  • Stripe's standard fees apply (set by Stripe, not us)

  • All payment processing is handled by Stripe under their terms

  • We never handle, store, or see full payment card information

Billing:

  • Fees are deducted automatically from each transaction or billed according to your plan

  • Net proceeds are paid to you according to your Stripe Connect settings

  • You're responsible for all applicable taxes on your event revenue

  • No refunds on our service fees (even if you refund an attendee)

Price Changes:

  • We may change pricing with 30 days notice to existing customers

  • New pricing applies to new customers immediately

  • Your current pricing is locked until we notify you of changes

3.3 Your Responsibilities as Organizer

You agree to:

  • Provide accurate event information

  • Honor your refund policy and event terms

  • Handle attendee data per our Privacy Policy

  • Comply with applicable laws

  • Respond to attendee disputes reasonably

You understand that:

  • You're responsible for delivering your event

  • We provide event tools only—not liable for your event outcomes

  • Attendee disputes are between you and the attendee

3.4 Refunds and Cancellations

Organizer-Initiated Refunds:

  • You control your refund policy and can issue refunds through the Platform

  • Stripe's processing fees are not refunded

  • Our fees are not refunded

  • You're responsible for communicating refund terms to attendees

Event Cancellation:

  • You must notify and refund attendees per your stated policy

  • Our service fees are not refunded

  • Excessive chargebacks may result in account restrictions

3.5 Data Ownership and Usage

Your Attendee Data:

  • You own the attendee data for your events

  • You can export data at any time

  • You're responsible for compliance with data protection laws (GDPR, CCPA, etc.)

  • You must use attendee data only for legitimate event purposes

  • You must provide attendees a way to unsubscribe from your communications

Our Platform Data:

  • We retain aggregate, anonymized usage data for platform improvement

  • We may use non-identifying data for analytics and service enhancement

4. Attendee Terms

4.1 Registration and Purchase

When you register for an event:

  • You agree to the organizer's event terms, refund policy, and conditions

  • You must provide accurate information

  • You're responsible for reviewing event details before purchase

  • Registration confirmations are sent to your provided email

4.2 Payment and Fees

  • Ticket prices are set by event organizers

  • Payment processing fees may apply (shown at checkout)

  • All payments are processed securely through Stripe

  • You're purchasing from the event organizer, not from us

4.3 Refunds and Changes

  • Refund policies are set by each event organizer

  • We don't control or guarantee refunds

  • Contact the event organizer directly for refund requests

  • Chargebacks should be a last resort after attempting to resolve with organizer

4.4 Event Changes or Cancellation

  • Event organizers may change event details

  • Event organizers are responsible for notifying you of changes

  • We're not liable for event changes, cancellations, or no-shows

  • Disputes are between you and the event organizer

5. Platform Usage Rights

5.1 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose.

5.2 Restrictions

You may NOT:

  • Reverse engineer, decompile, or disassemble the Platform

  • Use automated tools to scrape or extract data

  • Attempt to bypass security or authentication measures

  • Use the Platform for any unlawful purpose

  • Impersonate others or misrepresent your affiliation

  • Interfere with Platform operation or other users' access

  • Upload malicious code or conduct security testing without authorization

  • Resell or sublicense access to the Platform

6. Intellectual Property

6.1 Our IP

The Platform, including all code, design, features, and content we create, is owned by Sunfish Events LLC and protected by intellectual property laws.

6.2 Your Content

  • You retain ownership of content you upload (event descriptions, images, branding)

  • You grant us a license to display and process this content to provide our Service

  • You represent that you have rights to all content you upload

  • We may remove content that violates these Terms or applicable law

7. Prohibited Uses

You may not use the Platform for events or purposes that:

  • Violate any law or regulation

  • Infringe on intellectual property rights

  • Promote hate speech, violence, harassment, or discrimination

  • Facilitate illegal activities or scams

  • Involve adult content or services

  • Involve weapons, drugs, or regulated substances (unless legally permitted)

  • Are deceptive, fraudulent, or misleading

  • Violate export control or sanctions laws

We reserve the right to refuse service, cancel events, or terminate accounts that violate these prohibitions.

8. Payment Processing and Stripe

8.1 Stripe Services Agreement

Payment processing is provided by Stripe and is subject to the Stripe Services Agreement. By using payment features, you agree to be bound by Stripe's terms.

For Organizers, Stripe Connect terms apply.

8.2 Payment Disputes

  • Payment disputes and chargebacks are handled through Stripe

  • Excessive chargebacks may result in account restrictions

  • You're responsible for fraud prevention in your transactions

  • We may suspend accounts with high dispute rates

9. Service Availability and Modifications

9.1 Service Availability

  • We strive for high uptime but don't guarantee uninterrupted service

  • Scheduled maintenance will be communicated when possible

  • We're not liable for service interruptions or data loss

9.2 Service Changes

  • We may modify features, pricing, or terms with 30 days notice for material changes

  • Continued use after changes constitutes acceptance

  • Price changes for existing customers will be communicated via email

9.3 Account Termination

You may:

  • Close your account at any time

  • Export your data before closing

  • Outstanding obligations survive termination

We may:

  • Suspend or terminate accounts that violate these Terms

  • Suspend accounts with excessive disputes or chargebacks

  • Terminate the Service with 90 days notice (material changes get longer notice)

  • Immediately suspend accounts for fraud, illegal activity, or security threats

Upon termination:

  • Your access to the Platform ends

  • You remain liable for outstanding fees

  • Data will be retained per our Privacy Policy

  • We're not liable for data loss after reasonable retention period

10. Disclaimers and Limitation of Liability

10.1 Service Provided "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free

  • Results from using the Service will be accurate or reliable

  • Defects will be corrected

  • The Service meets your specific requirements

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE ARE NOT LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages

  • Loss of profits, revenue, data, or business opportunities

  • Event cancellations, changes, or attendee no-shows

  • Disputes between organizers and attendees

  • Unauthorized access to or alteration of your data

  • Third-party actions (including Stripe, attendees, or organizers)

  • Service interruptions or data loss

MAXIMUM LIABILITY: Our total liability to you for all claims is limited to the fees you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Organizers are solely responsible for:

  • Delivering the events they create

  • Handling attendee disputes and refunds

  • Compliance with applicable laws

  • Data protection and privacy compliance

10.3 Essential Purpose

These limitations apply even if remedies fail their essential purpose. Some jurisdictions don't allow limitation of implied warranties or liability for incidental/consequential damages, so these limitations may not fully apply to you.

11. Indemnification

You agree to indemnify and hold harmless Sunfish Events LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform

  • Your violation of these Terms

  • Your violation of any law or third-party rights

  • Your events (for Organizers)

  • Disputes with attendees or organizers

  • Your content or data

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at privacy@sunfishevents.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Governing Law

These Terms are governed by the laws of Florida, without regard to conflict of law principles.

12.3 Arbitration Agreement

Any dispute arising from these Terms will be resolved through binding arbitration under the American Arbitration Association (AAA) rules, rather than in court.

Exceptions: Small claims court matters, intellectual property disputes, and requests for injunctive relief.

Class Action Waiver: Disputes must be brought individually, not as part of a class action.

Opt-Out Right: You may opt out within 30 days of account creation by emailing privacy@sunfishevents.com with "Arbitration Opt-Out."

Arbitration Location: Jacksonville, Florida or mutually agreed location.

12.4 Venue

If arbitration doesn't apply, exclusive jurisdiction is in state and federal courts in Duval County, Florida.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Sunfish Events LLC regarding the Platform.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

13.3 No Waiver

Our failure to enforce any provision doesn't waive our right to enforce it later.

13.4 Assignment

You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger or sale.

13.5 Force Majeure

We're not liable for delays or failures due to circumstances beyond our reasonable control.

13.6 Relationship

These Terms don't create a partnership, joint venture, or agency relationship.

13.7 Third-Party Beneficiaries

Stripe is a third-party beneficiary of provisions relating to payment processing.
